MEDICALDIRECTORAGREEMENT

THISMEDICALDIRECTORAGREEMENT(this“Agreement”)isenteredintothis28thdayofJanuary,(the“EffectiveDate”),byandbetweenWhiteGloveHouseCallHealth,Inc.,aTexascorporation(“Company”),andKurtBerneburg,D.O.(“Physician”)

RECITALS:

WHEREAS,CompanyhasenteredintopreviousMedicalOversightandSupervisorAgreementswiththePhysicianandthepartiesagreethatthatallsuchagreementswillterminateasoftheEffectiveDateofthisAgreement;

WHEREAS,Companyprovideshealthcareservicestoindividualsintheirhomesandofficesthroughlicensednursepractitioners;

WHEREAS,CompanydesirestoengagePhysiciantoprovidemedicaldirectorservices,includingappropriatesupervisionofnursepractitioners;

WHEREAS,Physician,whoisdulylicensedintheStateofTexasandqualifiedtoprovidethemedicaldirectorservices,desirestoserveinthepositionofmedicaldirectorofCompanyinaccordancewiththetermsandconditionsofthisAgreement.

NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantsenteredintoandothergoodandvaluableconsideration,thesufficiencyandadequacyofwhichisherebyacknowledged,thepartiesheretoagreetothefollowingtermsandconditions:

ScopeofServices

CompanyherebyengagesandretainsPhysiciantoprovidetheServices(definedbelow)describedherein.

PhysicianherebyacceptssuchengagementandagreestoprovidetheServicesdescribedherein.PhysicianshallprovidetheServicesinaprofessionalmanner.
